Please read the following terms carefully. By placing a retainer or using any images provided by Ryan Owen Media Inc., you agree to these terms.
This agreement is between Ryan Owen Media Inc. ("Photographer") and the Client. "Image(s)" encompasses photographic material in any format — digital files, prints, negatives — captured pursuant to this agreement.
The Photographer retains all copyright ownership of all images created. Clients receive a license for use solely on websites and social media unless otherwise specified in writing. Images may not be distributed to third parties for any reason without express written consent.
Images are licensed, not sold. The license term begins upon full payment and image delivery. Rights are non-exclusive, non-sub-licensable, and non-transferable unless agreed otherwise in writing. Copyright metadata may not be altered without permission.
Clients may not alter images via filters, additions, or subtractions without prior written permission. Editing (color, crop, contrast, exposure adjustments) is included in all sessions. Retouching beyond standard editing is subject to additional fees. The Photographer reserves the right to decline requested edits.
The Photographer takes all reasonable care in the production of Images but assumes no liability for losses arising from the Client's use of images. Clients must indemnify the Photographer against any claims arising from their use of images. The Photographer is not responsible for obtaining model, property, or trademark releases unless specifically agreed in writing. Maximum liability under this agreement cannot exceed the total amount paid by the Client.
No rights are granted until the Photographer has received full payment. Unauthorized use of images prior to full payment will result in a fee equal to double the invoice total. All invoices are due upon receipt. Bank transfer fees are the Client's responsibility.
Images posted online require a credit line or copyright notice attributing Ryan Owen Media Inc. Missing or improper notices will result in a compensation fee equal to double the invoice total.
A 50% non-refundable retainer is required to hold the session date. The remaining 50% balance is due on the session date. Cancellations by the Client forfeit the retainer. If the Photographer arrives at the agreed location and the Client cancels or is not present, the Client owes the full remaining balance.
Additional reshoots are charged at 100% of the original quote or invoice, plus expenses. If circumstances beyond the Photographer's reasonable control (weather, acts of God) necessitate a reshoot, no additional fee applies — the Client is responsible for expenses only.
If the Photographer is unable to perform due to illness, mechanical failure, or acts of God, a reasonable effort will be made to secure a qualified substitute photographer. If no substitute is available, fees paid will be refunded with no further liability on the part of the Photographer.
Provided that the assignment was executed professionally by the Photographer, the Client agrees to pay all fees and expenses incurred in connection with the assignment, whether or not the Client uses any of the resulting images.
The Client is responsible for maintaining proper archives of all delivered digital files. The Photographer cannot guarantee the availability of files beyond first delivery. Clients must delete or destroy digital files containing licensed images within ten days after the expiration of the license term. Requests to reproduce previously delivered images are subject to a $100 processing fee.
Images are delivered in an industry-standard format at a resolution determined by the Photographer. Color calibration follows industry standards; display may vary by monitor. The Client is responsible for verifying suitability for their specific reproduction needs prior to use. Additional editing requests are charged at a minimum of $50 per image.
Sessions take place at mutually agreed locations. The Photographer will not trespass or use unlawful locations and will follow all posted property rules. For private property, the Client is responsible for obtaining authorization prior to the session. The Client assumes all risk for hazards at the agreed location. No other photographers or videographers may document the session without prior written agreement. Guests may not photograph during the session without the Photographer's agreement.
This agreement may not be assigned by either party without written consent. It is binding on both parties and their successors. Amendments require written agreement; email and electronic signatures are accepted. This agreement is governed by the laws of the United States.
Placing a retainer fee for a future session and/or use of any images by the Client constitutes acceptance of all terms and conditions set forth herein.
